Localyser Digital Interactive Inc. and its affiliates (“Localyser”, “we”, “us”, and “our”) are committed to the privacy and security of your personal information. This privacy policy (the “Policy”) describes how we collect, use, and disclose your personal information, how we protect it, and the controls you have over it. This Policy is incorporated into, and subject to, Localyser’s Terms of Service available at https://www.localyser.com/terms.

This Policy describes:
·        How we collect, use, disclose, and protect the personal information of users navigating Localyser’s website located at https://www.localyser.com/ or any mobile applications, widgets, plug-ins (collectively, the “Website”), or any other products or services offered by us (collectively, together with the Website, the “Services”) or by otherwise interacting with us directly;

·        The types of personal information we may collect from you, or that you may provide, when you use our Services or otherwise interact with us; and

·        Your rights in relation to our use of your personal information.

Please read this Privacy Policy carefully to understand our policies and practices for collecting, processing, and storing your information. By using our Services or by otherwise interacting with us directly, you agree that we may collect, use and disclose your personal information in accordance with this Policy and as permitted or required by law, and acknowledge that you have read, understand, and agree to be bound by this Policy or any modified version of the Policy, as indicated by the Effective Date posted above. If you do not agree to with our policies and practices as described in the Policy, please do not use or access the Services or interact with us.
We reserve the right to change this Policy from time to time, in accordance with applicable laws (please see the section “Changes to the Policy”, below).

PLEASE NOTE THAT THIS POLICY DOES NOT APPLY TO OUR HANDLING OF PERSONAL INFORMATION THAT WE PROCESS ON BEHALF OF OUR CLIENTS USING OUR SERVICES.

For example, we may collect publicly-available reviews on behalf of clients for the purpose of monitoring and responding to reviews from our platform. Review data may include the review name or handle, date of the review, the source of the review, the rating of the review, the review icon image, as well as other information. When we act as a service provider to a client and process personal information on its behalf, the handling and processing of that personal information is subject to that client’s privacy policy. If we are processing your personal information on behalf of one of our clients, we encourage you to contact that client and review its privacy policy. Any inquiries we receive from you concerning the use of your personal information will be forwarded to the applicable client.

2. What Information Do We Collect About You?
As used in this Policy, “personal information" means information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with an individual. It may also include other types of more technical information, but only when this information can identify you as an individual. Information that cannot be reasonably be linked to an identifiable individual, such as anonymized information, is not considered personal information.
We may collect, use, and disclose the following categories of personal information about you, including but not limited to:

• contact information, such as your full name, e-mail address, street address, postal code. telephone number, and other contact information. We generally collect this personal information on our registration forms when you sign up to register with us.
• client communications, such as messages, opinions, complaints, evaluations, questions, or comments that you provide to us, as well as your contact information and the content of your message. We generally collect this personal information when you contact us, including via the “Contact Us” form available on the Website.
• technical information, such as IP address, screen resolution, browser language, browser type and version, time zone setting, browser plug-in types and versions, operating system and platform, or information about your internet connection, the equipment you use to access our Website, and usage details, such as pages and events viewed, clickstream data, account login information, the website you came from, and preferences l. We collect this personal information during your usage of the Services; and
• any other information you provide to us.


3. How Do We Collect Your Information?

Information We Collect Through Automated Technologies
As you navigate through and interact with our Website, we may use cookies or other automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including:
• Details of your visits to our Website, including traffic data, location data, logs, and other communication data and the resources that you access and use on the Website.
• Information about your computer and internet connection, including your IP address, operating system, and browser type.

The technologies we use for this automatic data collection may include cookies and web beacons.
• “Cookies” are pieces of information generated by web servers and stored in your computer for future access. Cookies cannot view or retrieve data from other cookies, nor can they capture files or data stored on your computer. We, our partners, and our suppliers use cookie technology to enhance your online experience by making it easier for you to navigate through our Services or make a feature work better. • “Web beacons” (also known as “web bugs”) are small images, generally a single transparent pixel, served to you as part of a web page or other document. Web beacons may be used in parts of our Services for purposes such as site traffic reporting, unique visitor counts, advertising auditing and reporting, and personalization. These web beacons do not collect personal information, and do not transfer any personal information to third parties. If web beacons are used by any of our advertising services suppliers, that supplier’s privacy policy governs their use.

We use information that we collect about you or that you provide to us, including any personal information:

5. Cross-Jurisdictional Transfers
The personal information we collect is typically stored and processed in the state of Ohio in the United States of America; however, in some instances, it may be transferred, stored, and/or processed in other jurisdictions. As a result, when your personal information is used or stored in a jurisdiction other than where you are residing, it may be subject to the law of this foreign jurisdiction, including any law permitting or requiring disclosure of the information to the government, government agencies, courts and law enforcement in that jurisdiction. It is important for you to note that the laws regarding the protection of personal information in any jurisdiction in which we transfer, store or process your personal information may be different from the laws of your jurisdiction. Localyser intends to adhere to the principles set forth in this Policy, unless otherwise required by applicable laws. By using our Services or otherwise providing us with personal information, you consent to the transfer of your personal information to any jurisdiction in accordance with the terms of this Policy.


6. How Do We Protect Your Information?

We are committed to maintaining the security of your personal information and have implemented physical, technological and administrative measures to protect against the loss, misuse, and alteration of the personal information under our control. All Localyser employees who have access to, or are associated with, the processing of personal information are contractually obligated to respect the confidentiality of your personal information and abide by the privacy standards we have established. Please be aware that no security measures are perfect or impenetrable. Therefore, although we use industry standard practices to protect your privacy, we cannot (and do not) guarantee the absolute security of personal information. Localyser cannot be liable for any breaches of confidentiality due to system failures or unauthorized access by third parties.

7. With Whom Do We Share Your Information?
Localyser may share your personal information to third parties in the following circumstances:

• with our agents, service providers, contractors and other third parties we use to support our business, including the Services, who are contractually obligated to keep personal information confidential and to process the personal information to standards that accord with those set out in this policy;
• with our affiliates and related companies;
• with advertisers to inform them of aggregate user demographics and behaviour, as well as with the users that have been exposed to or clicked on such advertisers’ advertising banners. We will provide only aggregate data from these analyses to third parties;
• with an acquiring organization or other successor in the event of an acquisition, merger, divestiture, restructuring, reorganization, dissolution, sale or transfer or other transaction involving Localyser, its affiliates, related companies, or any of their respective assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by us is among the assets transferred;
• with law enforcement or a government institution if required to do so by law, a court order, or other governmental authority;
• when we believe in good faith that disclosing your personal information is otherwise necessary or advisable, such as to identify, contact, or bring legal action against someone who may be causing injury to – or interfering with – the rights or property of Localyser, the Services, another user, or anyone else that could be harmed by such activities (for example, identify theft or fraud), to protect our rights or to enforce any agreements we have with you.

8. Use of Advertisements
Any advertisements that may appear in the Services will generally be delivered (or “served”) directly to you by third-party advertisers, and they automatically receive your IP address when this happens. These third-party advertisers may also download cookies to your computer or use other technologies to measure the effectiveness of their advertisements and to personalise advertising content. Doing this allows them to recognise your computer each time they send you an advertisement in order to measure the effectiveness of their advertisements and to personalise advertising content. In this way, they may compile information about where individuals using your computer or browser saw their advertisements and determine which advertisements were clicked. Third-party advertisers have no access to the information you have provided to Localyser unless you choose to provide it to them yourself directly.

9. How Do We Secure Your Information?

The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. In addition, we limit personal information access to those employees, agents, contractors, and other third parties that have a legitimate business need for such access. We implement a combination of policies and internal practices to protect your personal information, including:

• internal policies and procedures that define the roles and responsibilities of our employees throughout the life cycle of an item of information and limit their access to that information on a “need-to-know” basis and the retention of destruction of personal information;
• procedures for responding to complaints or inquiries related to privacy, including related any confidentiality incident involving personal information;
• if the information is collected or stored electronically, technical safeguards such as encryption, firewalls, passwords, anti-virus software and similar measures; and
• contractual protections and other measures to ensure that service providers with whom we share personal information maintain adequate protections and security standards.

10. How Long Do We Retain Your Information?

Personal information is retained for such period of time as is necessary to fulfill the purposes for which such information was collected including for the purposes of satisfying any legal, accounting, or reporting requirements. The length of time personal information is kept varies according to the nature of the information, and it may extend beyond the end of the relationship between you and Localyser. Under some circumstances we may anonymize your personal information so that it can no longer be associated with you.

11. Links to Third-Party Websites

The Services may contain links to other websites. By clicking on a third-party advertising banner or certain other links, you will be redirected out of the Services and to such third-party websites. Furthermore, Localyser’s customers may connect their Google My Business and/or Facebook Business Manager account in order to allow for real-time monitoring and review response management of their own listing and brand page reviews. We are not responsible for the privacy policies of other websites or services. You should make sure that you have read and understood any applicable third-party privacy policies, and you should direct any questions or concerns to the relevant third-party administrators or webmasters prior to providing any personally information to such third parties.

12. Children Information

We do not knowingly collect personal information from anyone under the age of 14. If you are under the age of 14, please do not use the Services nor provide us with your personal information. If we become aware that we have collected personal information from anyone under the age of 14 without verifiable parental consent, we will delete or anonymize that information.

13. Your Choices
We strive to provide you with choices regarding the personal information you provide to us. Below, we describe a variety of mechanisms designed to provide you with ways to control the collection, use or disclosure of your information:

• Cookies. Generally, cookies can be disabled. The “help” portion of the toolbar on most browsers will tell you how to prevent your browser from accepting new cookies, how to have the browser notify you when you receive a new cookie, or how to disable cookies altogether. If you would like to use the Services, you may do so without accepting cookies. However, you should understand that if you choose not to accept cookies, some areas of the Services may not function properly or optimally and you will not be permitted to access certain secured areas of the Services. • Promotional communications. With your consent, we sometimes e-mail you in order to provide targeted marketing from our Services. We only send such e-mails when you have specifically requested them . Specifically, end users submitting their contact details in the customer feedback landing page can opt in to receive promotional messages from the brand soliciting their feedback using Localyser’s online feedback tool. All e mails or other communications you receive from us will include specific instructions on how to unsubscribe and you may unsubscribe at any time. You may remove your information from our database by selecting the opt-out link at the bottom of any Localyser e-mail and follow the instructions provided. Please note that:
    o Even if you have opted out of receiving promotional communications from us, we may still contact you for transactional purposes, in compliance with applicable laws. We may also need to contact you with questions or information relating to your inquiries; and
     o It may take some time for all of our records to reflect changes in your preferences (e.g., if you request that you not receive promotional communications, your preference may not be captured for a promotion already in progress).

We do not control third parties' collection or use of your information to serve interest-based advertising. However, these third parties may provide you with ways to choose not to have your information collected or used in this way. You can opt out of several third party ad servers' and networks' cookies simultaneously by using an opt-out tool created by the Digital Advertising Alliance. You can also learn more at the Digital Advertising Alliance website about online behavioural advertising and how to stop websites from placing cookies on your device. Opting out of a network does not mean you will no longer receive online advertising. It does mean that the network from which you opted out will no longer deliver ads tailored to your web preferences and usage patterns.

While some internet browsers offer a "do not track" or "DNT" option that lets you tell websites that you do not want to have your online activities tracked, these features are not yet uniform and there is no common standard that has been adopted by industry groups, technology companies, or regulators. Like most other companies, our Website is not currently configured to respond to browsers' "Do Not Track" signals because at this time no formal "Do Not Track" standard has been adopted. 14. Your Rights With Respect to Your Personal Information
Subject to certain exceptions, as permitted by law, and depending on your jurisdiction, you may have the following rights in relation to the personal information we hold about you:

• You have the right to access the personal information we hold about you and to receive a general account of our uses of that personal information.
• If the personal information we hold about you is inaccurate or incomplete, you are entitled to have it rectified.
• You can ask us to delete or remove your personal information in some circumstances such as where we no longer need your personal information to fulfill the purposes for which it was collected or if it is obsolete, or if you withdraw your consent (where your consent was the legal basis on which we were processing your personal information).
• You may have the right, in certain circumstances, to obtain personal information you have provided us with in a structured, commonly used and machine-readable format and to reuse it elsewhere or to ask us to send it to a third party of your choice.
• You may have the right, in certain circumstances, to object to processing of your personal information.
• You may have the right to request the restriction of processing of your personal information. This enables you to ask us to suspend the processing of your personal information about you in certain circumstances, for example, if you want us to establish its accuracy or our reason for processing it.
• If we rely on your consent as our legal basis for processing your personal information, you have the right to withdraw such consent, except under certain limited circumstances, at any time. Please note that withdrawing your consent will not affect the legality of any processing carried out before such withdrawal. Please also note that if you withdraw your consent we may not be able to provide you with a particular service. We will explain the impact to you at the time to help you with your decision.

If we cannot provide you with access to your personal information, we will inform you of the reasons why, subject to any legal or regulatory restrictions.

Localyser may update the Policy periodically to reflect changes to our personal information processing practices or to meet requirements under applicable laws. If any changes are made to the Policy, we will post a copy of the Policy as amended on our Website and update the Effective Date accordingly. If we make material changes to this Policy, we will provide more prominent notice to you as and where required by applicable law. By continuing to interact with us after the modified version of the Policy has been posted or you have been informed of such update, you agree to be bound by all such changes. If you do not agree to the changes in our Policy, it is your responsibility to stop interacting with us.
